These Terms of Service (“Terms”) govern access to and use of hosting, domain, DNS, support, and related services supplied by Excelax IT Solutions (“Excelax”, “we”, “us”, or “our”). By ordering, renewing, or using a service, you confirm that you have read and accepted these Terms and the policies incorporated into them.
1. Eligibility and account information
You must have legal capacity to enter a contract and must provide accurate, current contact, billing, and service information. You are responsible for safeguarding account credentials, enabling available security controls, and promptly notifying us of suspected unauthorised access.
2. Orders and service activation
An order is an offer to purchase a service. We may verify an order before accepting it and may reject, hold, or cancel an order where information is incomplete, payment cannot be confirmed, fraud or abuse is suspected, or the requested service cannot lawfully or technically be provided. Provisioning times are estimates unless we expressly agree otherwise in writing.
3. Fees, taxes, and renewals
Prices and billing cycles shown at checkout govern the order. Applicable taxes, registry charges, premium-domain charges, and third-party fees may be added where disclosed. Recurring services renew at the price in effect for the next term. You are responsible for keeping a valid payment method and reviewing renewal notices. Failure to pay may result in suspension, expiry, data loss, or termination.
4. Customer responsibilities
You are responsible for your content, applications, users, passwords, software updates, licences, and compliance with law. You must use services in accordance with our Acceptable Use Policy and must not use them to harm others, evade security controls, or interfere with the platform. You remain responsible for activity performed through your account unless caused solely by our breach.
5. Hosting, backups, and security
We take reasonable measures to operate and protect the hosting platform. Daily backups support operational recovery but are not an archive or a substitute for your own tested, off-platform backups. Restoration may depend on available recovery points and service condition. You must maintain copies of business-critical content and test your applications after material changes.
6. Domains and third-party services
Domain services are also governed by our Domain Registration Agreement and applicable registry, registrar, ICANN, and NiRA rules. Third-party services remain subject to their provider terms. We do not guarantee that a requested domain will remain available until the registry confirms registration.
7. Support
Technical support is available through the published support channels. Support covers the Excelax service and reasonable platform assistance; it does not include unlimited website development, debugging of third-party code, or administration of customer-controlled systems unless separately agreed.
8. Suspension and termination
We may suspend or restrict a service where reasonably necessary to address non-payment, security incidents, legal or regulatory demands, prohibited use, resource abuse, or risk to other customers. Where practicable, we will provide notice and an opportunity to correct the issue. Serious or repeated violations may result in immediate termination.
9. Intellectual property
You retain rights in content you lawfully provide. You grant us the limited rights required to host, transmit, back up, and process that content to provide the service. Excelax branding, software, documentation, and site content remain the property of Excelax or their respective licensors.
10. Service changes and availability
We may make reasonable technical or operational changes to maintain security, reliability, or legal compliance. The Service Level Agreement describes the hosting uptime target and exclusions. Internet services may be affected by events outside our reasonable control.
11. Liability
Nothing in these Terms excludes liability that cannot lawfully be excluded. To the extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss, or loss of profit, goodwill, or opportunity. Our aggregate liability relating to a service will not exceed the fees you paid for that affected service during the six months preceding the event giving rise to the claim.
12. Indemnity
You will be responsible for third-party claims arising from unlawful content, infringement, or misuse of your service, except to the extent caused by our breach or negligence. We will provide reasonable notice of a claim and allow appropriate participation in its defence.
13. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Before commencing formal proceedings, each party should give written notice of the dispute and allow at least 30 days for good-faith resolution. Nigerian courts of competent jurisdiction will have jurisdiction, subject to any mandatory consumer right.
14. Changes and contact
We may update these Terms for legal, security, or service reasons. Material changes will be posted with a revised effective date and, where appropriate, notified through the client area or email.
